All orders placed on the Website are subject to these Terms and Conditions of Sale. These may be modified and updated; the applicable conditions to a product order by a customer are those in force on the day of the order. These Terms and Conditions of Sale are subject to French law, except for mandatory provisions such as those resulting from the Rome Convention of June 19, 1980 on the law applicable to contractual obligations.
II. PURPOSE
These Terms and Conditions of Sale (hereinafter the "Terms and Conditions") exclusively govern sales made on the website clioblue.com (hereinafter the "Website") of products offered by Clioblue digital to consumer buyers (hereinafter the "Customer(s)") and specify the conditions of ordering, payment, delivery, and handling of potential product returns.
The Terms and Conditions are binding on the Customer, who declares having read and accepted them by checking the box "I accept the Terms and Conditions of Sale" before completing the online order.
Clioblue digital reserves the right to modify its Terms and Conditions of Sale at any time. In the event of a modification, the applicable Terms and Conditions are those in force on the date of order confirmation. The Customer must therefore refer to them each time an order is placed.
The invalidity of one contractual clause does not imply the invalidity of the Terms and Conditions of Sale as a whole.
The temporary or permanent non-application of one or more clauses of the Terms and Conditions by Clioblue digital shall not be considered as a waiver of its right to apply such clauses or any other clauses of the Terms and Conditions that remain in effect.
III. THE CUSTOMER
The Website customer must be a consumer, a natural person of legal age, and legally capable. When placing a first order on the Website, the customer must create a customer account and complete an order form specifying certain mandatory fields so that their order may be processed by Clioblue digital.
The information provided to Clioblue digital when creating the customer account or placing an order must be complete, accurate, and up to date. Clioblue digital may, where necessary, request that the customer confirm such information and their identity by any means.
In light of the commercial policy described above, Clioblue digital reserves the right not to process orders from persons other than "consumers" or orders that do not comply with its commercial policy.
IV. PRODUCTS
Only first-quality products are offered for sale on clioblue.com. Manufacturers and resellers are carefully selected based on strict quality control standards.
Clioblue digital does not sell second-hand, defective, or substandard products.
The essential characteristics of the products are presented on clioblue.com in each product sheet. However, the images and colors of products offered for sale on clioblue.com may not correspond to the actual colors due to the effect of the Internet browser or the screen used.
With regard to customized products, the customer acknowledges that they are merely "personalizing" a product created by Clioblue digital and that such "personalization" does not involve any creative effort. All intellectual property rights relating to the customized product remain the exclusive property of Clioblue digital.
As a prerequisite to the sale of any customized product, the customer agrees, where applicable, to assign to clioblue.com the rights related to their creation, including any model, drawings, plans, specifications of the product created by the Customer on the clioblue.com website, and any related copyrights.
The assignment includes the transfer of exclusive rights to:
a) manufacture, reproduce, distribute, and/or sell the products
b) manufacture, distribute, and/or sell any derivative product from the model or designs
c) grant licenses or sub-licenses for any of the purposes listed above
Clioblue digital considers that by validating the Terms and Conditions of Sale, the Customer acknowledges having read the provisions regarding the assignment of rights arising from "their creations" and accepts them without reservation.
If the Customer uploads a personal design or customizes the product by adding text, they guarantee to clioblue.com that the chosen text and/or design are free from third-party rights. In the event of a violation of copyright, personality rights, or applicable laws, the Customer shall be solely liable and assume all legal consequences.
If Clioblue digital is subject to legal action on these grounds, the Customer agrees to indemnify Clioblue digital for any resulting judgment. The Customer also guarantees that they do not infringe any third-party rights when customizing the product.
Clioblue digital ships all orders under the DDP (Delivered Duty Paid) Incoterm. This means that all customs duties, import taxes, and clearance fees applicable in the country of destination are included in the price displayed at checkout and are borne entirely by Clioblue digital. Customs fees are automatically calculated and added to the cart based on the contents of the order. No additional charges will be due from the customer upon delivery, regardless of the destination country.
V- CONSUMER MEDIATION
In the event of a dispute, the consumer has the option of using a consumer mediator free of charge, as part of an amicable settlement, after contacting our customer service.
In accordance with the provisions of the Consumer Code concerning "the mediation process for consumer disputes", after contacting us and if you do not receive a satisfactory response, you have the option of using a free consumer mediation procedure with:
